This Investment Management Agreement is made effective as of October 28, 2025, between the Client/Investor, Jocelyn DiPalma, and the Fund Manager, Roland Tran (also known as \"Giam\").

  • Capital Investment: The Client agrees to deposit a total investment capital of $2,500 for management by the Fund Manager.
  • Management Fee (2%): A management fee amounting to 2% of the Capital, totaling $50, is payable to the Fund Manager. This fee is due on the effective date and is non-refundable.
  • Performance Fee (25% of Profits): The Fund Manager is entitled to a performance-based fee equal to 25% of the net profits generated from the Capital during the investment period. Net profits are defined as the total investment value minus the original $2,500 Capital.
  • Investment Period: The term begins on October 28, 2025, and concludes on October 28, 2026.
  • Profit Distribution: All profits will be calculated and distributed to the involved parties within seven days following the end date. The Fund Manager receives 25% of profits, with the Client receiving the remaining 75%.
  • Risk Acknowledgment: The Client acknowledges that all investments carry inherent risk, including the potential for loss of the original capital. The Fund Manager does not guarantee any profits or returns.
  • Governing Law: This Agreement shall be governed and interpreted according to the laws of a jurisdiction mutually agreed upon by both parties.
  • Entire Agreement: This document constitutes the complete agreement between the parties, superseding any prior verbal or written understandings.

Travel beyond a 10-mile radius may incur a small additional charge. Purchasing more hours yields greater savings.
